Loyalty Program Rules

Annex 2 to the Master Service Agreement.

These Rules govern the UpWaiter Loyalty Program operated by Eaty City OÜ for Customers and Merchants on the Platform.

01Program purpose

This initiative serves three key functions: acquiring new customers, boosting purchase frequency, and keeping existing customers engaged. The program operates through a 5.5% marketing fee structure.

02Loyalty accrual

Participants earn rewards equal to 5.5% of the gross transaction amount in Loyalty Points.

03Legal nature

These points carry specific restrictions: they:

  • Are not electronic money
  • Do not represent a monetary obligation
  • Cannot be withdrawn or transferred by customers

04Validity

Points remain active for 12 months, after which they expire and are removed from accounts through a process called Breakage.

05Redemption

When customers use their points, the merchant applies a discount. The company calculates VAT from the net amount.

06Compensation

The company settles its obligations through netting arrangements rather than direct bank transfers.

07Funding

The marketing fee provides all program financing, with no escrow or safeguarding mechanisms.

08Breakage

Expired points belong to the Company and are recognized as net profit.

09Modifications

The operator may update program terms with 30 days' prior notice.
